These terms govern your use of Nu-Century Subtitle Studio Pro (the "App") and its connected account/billing service (the "Service"), provided by Nu-Century Audio Visual Production ("we", "us"). By creating an account, you agree to these terms.

1. The Service

The App extracts subtitles already present in a video (via OCR) or generates new subtitles from spoken audio (via speech-to-text), with optional AI-powered cleanup and translation. Core extraction and transcription run on your own computer. The optional AI features require an internet connection and a license or your own Anthropic API key.

2. Accounts

• You need a free account (just an email address) to use the App, whether or not you use any paid features.
• New accounts receive a number of free trial credits automatically — no payment required to start.
• You're responsible for keeping your license key reasonably secure, the same way you'd protect any account credential — anyone with it can use your balance.
• You agree to provide an accurate email address, since it's how we identify your account and any purchases tied to it.

3. Plans, credits, and billing

• Subscription plans and pay-as-you-go credit top-ups are billed in Naira through Paystack.
• Credits are consumed for OCR extraction, Whisper transcription, and optional AI features, at rates shown in the App at the time of use — these rates can change, and the App always shows the current rate before you're charged.
• Credits purchased through a top-up don't expire and aren't affected by later price changes; a monthly plan's included credits reset each billing cycle at whatever the plan currently includes.
• Subscriptions can be cancelled at any time; cancelling stops future renewal charges but doesn't refund the current cycle.
• We don't currently offer refunds on credits already consumed for processing that completed successfully.

4. Acceptable use

You agree not to use the Service to:

• Process content you don't have the legal right to process (for example, copyrighted material you don't own or have permission to work with).
• Attempt to abuse, circumvent, or overload the metering, billing, or licensing systems.
• Use the AI features to generate content that violates Anthropic's own usage policies, since those requests are forwarded to their API under our account.
• Resell or redistribute access to the Service itself (using the App to produce subtitles for your own work is, of course, completely fine).

5. Your content

You retain all rights to your video, audio, and the subtitles you produce with the App. We don't claim any ownership over them. Subtitle text you choose to send through the optional AI features is processed by Anthropic solely to return a result to you — we don't use it to train models or for any purpose beyond fulfilling that request.

6. Accuracy and no warranty

OCR extraction and speech transcription are automated processes and won't be perfect on every file — accuracy depends on your source material. The App shows confidence scores specifically so you can judge what to double-check. The Service is provided "as is," without warranty of any kind, to the fullest extent the law allows.

7. Limitation of liability

To the fullest extent permitted by law, we aren't liable for indirect, incidental, or consequential damages arising from your use of the App or Service, including lost time, lost revenue, or inaccurate subtitles. Our total liability for any claim is limited to the amount you paid us in the 3 months before the claim arose.

8. Changes to the Service or these terms

We may update these terms or change features, pricing, or the Service itself over time. Material changes will update the date at the top of this page. Continuing to use the App after a change means you accept the updated terms.

9. Termination

You can stop using the Service and ask us to delete your account at any time. We may suspend or terminate accounts that violate these terms, particularly the acceptable-use section above.

10. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria.
